In-House Lawyer Web3
TAC
About TAC:
TAC is a TON network extension enabling the EVM community to seamlessly tap into Telegram's 950M monthly active users. As a native TON solution (not Layer 2), TAC’s unique approach facilitates transaction lifecycles entirely on TON, with asynchronous EVM code execution on TAC. We’re building the gateway for EVM developers and teams to create scalable Web3 applications inside Telegram.
Role Overview:
We are looking for an experienced In-House Lawyer with a strong background in corporate law, venture deals, and a deep understanding of the Web3/crypto space. You will be helping us shape internal policies, manage external counsel, close deals, and stay compliant across jurisdictions.
Key Responsibilities:
-
Advise TAC on matters of corporate and contract law, crypto regulation, and Web3 compliance.
-
Draft, review, and negotiate a wide range of agreements, including investment docs, SAFTs, service agreements, partnership deals, and token-related documentation.
-
Collaborate with external legal counsel in BVI, Singapore, US and other jurisdictions.
-
Monitor and interpret regulatory developments in Web3 and crypto sectors.
-
Lead or assist in legal due diligence for investments and strategic partnerships.
-
Help manage internal legal risk and provide strategic legal input to the team.
-
Maintain documentation around governance, cap tables, and investor relations. ** Requirements:**
-
Law degree from a reputable institution; bar qualification is a plus.
-
4–7 years of experience in corporate law, ideally with exposure to Web3.
-
Hands-on experience with legal aspects of token launches, staking, and DAOs is a plus.
-
Solid knowledge of common law systems (BVI/US/Singapore/Seychelles) and international compliance.
-
Fluent in English and Russian (written and spoken); a confident communicator with stakeholders and partners at all levels.
-
Self-starter able to work autonomously in a fast-paced and globally distributed team.
Nice to have:
-
Experience with token generation events (TGE), DAO/multisig governance structuring.
-
Drafting and negotiating IP/tech transfer agreements.
-
Prior interaction with custodians, market makers, and centralized exchanges (CEX).
-
Ability to independently produce first drafts of legal documents, not just coordinate with counsel.
